WHAT WE ARE LOOKING FOR
- Provide strategic legal advice to the Board, management team, and business units.
- Interpret and apply relevant legislation, regulations, and case law.
- Oversee legal risk management and ensure proactive mitigation strategies.
- Review and advise on contracts, agreements, and legal documents.
- Draft, review, vet and negotiate a wide array of contracts (e.g. term sheets, supply, service, license, co-operation agreements) on behalf of all Rheinmetall South African entities to ensure that legal contractual risk is managed adequately and effectively for either the supply of goods to its clients, or procurement thereof from its business partners.
- Support the business by providing support in the negotiations, and subsequent drafting of contracts and related commercial agreements in a consistent manner.
- Oversee board packs for board meetings, attendance and taking minutes of board meetings, compilation of shareholder and board resolutions, removal and appointment of directors with the Companies and Intellectual Properties Commission (“CIPC”) and filing of all Annual Returns and attendance with all internal filing requirements.
- Support Board and committee processes, including preparation of legal documentation.
- Participate and support corporate responsibility initiatives for the achievement of business strategy, including Environmental, Social and Governance (“ESG”) issues.
- Manage and develop strong partnerships and stakeholder relations with outside counsel/external law firms to ensure that a high-quality standard of legal service is provided at a reasonable cost.
- Provide support and oversight into the management of legal costs relating to litigation costs in line with the Rheinmetall Legal Manual to ensure that costs and expenses are managed within the allocated legal budget.
- Provide adequate and effective legal management of litigation matters, including high quality recommendations, timeous communication with relevant internal stakeholders and panel attorneys.
- Review and manage attorney’s panel to ensure that the panel comprises appropriate, diverse and transformed attorneys and law firms
- Develop, implement, and maintain compliance frameworks, policies, and procedures.
- Ensure adherence to applicable laws, regulations, and industry standards.
- Communicate new and relevant legislation to all Rheinmetall South African entities and educate management and employees on pertinent legal issues.
- Promote a culture of compliance and ethical conduct across the business.
- Deliver on risk and compliance related projects by tracking progress and ensuring completion within specified time frames.
- Oversee external audits being conducted at all Rheinmetall South African entities
- Ensure that the recommended actions are taken by participating in external audit process and subsequently follow-ups with relevant stakeholders
- Identify legal and regulatory risks and implement mitigation strategies.
- Lead investigations into compliance breaches or legal issues.
- Manage litigation, disputes, and external legal counsel.
- Lead and develop the Legal & Compliance team.
- Set departmental goals and performance standards.
- Manage budget and resource allocation for the function.
WHAT QUALIFICATIONS YOU SHOULD HAVE
- Bachelor’s Degree in LLB.
- LLM Degree would be advantageous.
- Registration with the relevant Law Society and admission as an Attorney or Advocate would be advantageous.
- At least 10 years’ legal experience, of which 5 years should have been in a leadership role.
- Strong experience in corporate law, regulatory compliance, and governance. Strategic thinking and decision-making.
- Strong leadership and people management skills.
- Excellent legal drafting and negotiation skills.
- High ethical standards and integrity.
- Fully computer literate.
- Administrative, planning and organisation skills.
- Sound corporate and commercial knowledge.
- Must be willing to travel across Rheinmetall entities in South Africa and International.
